Terms of Service

These terms govern your use of the T-Notch Software Automations website and any services we provide. By using the site or engaging us, you agree to these terms.

1. Our services

We design and build custom software, AI agents, automations and internal tools for businesses. The exact scope, deliverables, timelines and pricing for each engagement are defined in a separate written proposal or statement of work.

2. Discovery calls & proposals

Discovery calls and initial assessments are offered free of charge and create no obligation. Any work beyond that begins only after a written proposal is signed by both parties.

3. Fees & payment

Fees are described in your proposal. Unless stated otherwise, invoices are due within 14 days. Late payments may incur reasonable interest as permitted by law.

4. Intellectual property

Once an engagement is fully paid, you own the custom code and deliverables we build for you. We retain ownership of our pre-existing tools, frameworks, libraries and know-how, and may reuse general learnings on other projects.

5. Confidentiality

We treat the information you share with us as confidential and use it only to deliver our services. We expect the same in return for any confidential information we share with you.

6. Acceptable use of the website

Don't misuse the site — no scraping at scale, attacking the infrastructure, attempting to bypass security, uploading harmful content or impersonating others.

7. Third-party services

Some features rely on third-party services (calendar booking, messaging, analytics). Their terms and privacy policies apply when you use them.

8. Disclaimers

The website and any free resources are provided "as is" without warranties of any kind. We don't guarantee specific business outcomes from automation projects — results depend on many factors including your data, processes and adoption.

9. Limitation of liability

To the maximum extent permitted by law, our total liability for any claim arising from the website or our services is limited to the fees you paid us in the 3 months before the claim arose. We are not liable for indirect, incidental, special or consequential damages.

10. Termination

Either party may end an engagement as described in the relevant proposal. We may suspend access to the website at any time for misuse.

11. Governing law

These terms are governed by the laws of the province of Newfoundland and Labrador, Canada, without regard to conflict-of-law rules. Disputes will be heard by the courts located there.
